It is expressly agreed that Fleet Owner/Operator shall always be acting as an independent contractor in
performing any services for the Company.
The Company shall carry no worker’s compensation insurance, or any health or accident insurance to cover
Fleet Owner/Operator, or any of his drivers. The Company shall not pay any contribution to social security,
unemployment insurance, federal or state withholding taxes, nor provide any other contributions which
might be expected in an employer-employee relationship. Fleet Owner/Operator agrees to report and pay
any necessary amounts for worker’s compensation, taxes, unemployment insurance, social security, health
insurance and other benefits for himself and his drivers, and indemnify, defend and hold harmless the
Company.
All Fleet Owner/Operators agree that as to any work obtained through the Company he will not
discriminate against any driver or applicant for employment by reason of race, creed, color, sex or national
origin, or any protected group.
In this agreement, you are not held obligated to work exclusively for the Company. However, if you choose
to, you will be provided additional agreement to sign.


I. BASIC REQUIREMENTS:
A. YOU AND YOUR DRIVERS ARE NOT EMPLOYEES OF THE COMPANY.
B. YOU MUST PROVIDE A CERTIFICATE OF INSURANCE SHOWING THE COMPANY AS ADDITIONAL
INSURED
1) Must be an Accord form
2) Commercial Auto Coverage: Trucking for Hire Operations
3) $1,000,000 Primary Liability Commercial Auto CSL

LOAD
4) $100,000 Broad from Cargo with $1,000 deductible maximum
5) Unlimited Radius of Operations (Full time with NO radius coverage restrictions) 200, 300-
or 500-mile radius with a few runs outside this radius per year is NOT acceptable.
6) Certificate must also show listed Vehicles (Year, Make, VIN #) as well as all listed drivers.
C. YOU AND YOUR DRIVER(S) MUST ALL BE OVER THE AGE OF 21
D. ALL DRIVERS MUST BE APPROVED AND REGISTERED WITH THE COMPANY PRIOR ACCEPTING A
E. YOU AND YOUR DRIVER(S) MUST NOT HAVE A DUI IN THE PAST 10 YEARS
F. MUST HAVE A VALID DRIVER LICENSE FROM STATE OF RESIDENCE
G. MINIMUM OF 6 MONTHS OVER THE ROAD DRIVING EXPERIENCE FOR ALL CARGO VANS,
SPRINTER VANS AND SMALL STRAIGHT BOX TRUCKS (UNDER 10,000 GVW)
H. MUST OWN A NATIONWIDE COVERAGE SMARTPHONE (iOS <iPhone> OR ANDROID) AND KNOW
HOW TO OPERATE IT
I. MUST OWN AND KNOW HOW TO OPERATE A GPS SYSTEM
J. MUST BE ABLE TO SET UP TRACKING APPS IF REQUIRED.


II. VEHICLE REQUIREMENTS
A. ALL VEHICLES MUST BE YEAR 2010 OR NEWER, OTHERWISE NOTIFIED TO HR
B. ALL VEHICLES MUST BE UNDER 10,000 GVW, OTHERWISE NOTIFIED TO HR
C. MAINTENANCE MUST BE DONE REGULARLY
D. VEHICLES WITH PAPER PLATES ARE NOT ACCEPTED
E. MUST HAVE “FOR HIRE” OR “COMMERCIAL” PLATE
F. TEMPORARY REGISTRATION WILL NOT BE ACCEPTED, OTHERWISE NOTIFIED TO HR
G. ALL VEHICLES MUST HAVE A MINIMUM OF 4 STRAPS
H. ALL DECALS MUST BE REMOVED UNLESS THE COMPANY IS UNDER YOUR AUTHORITY
I. IF YOU CHANGE THE VEHICLE YOU ARE SET UP WITH, YOU MUST LET THE COMPANY KNOW
PRIOR TO PUTTING THE VEHICLE ON THE ROAD. YOU MUST SEND NEW REGISTRATION AND INSURANCE
FOR THAT VEHICLE.


III. GENERAL INFORMATION
A. You will receive the amount agreed with the dispatcher when you are offered the load. When
you are dispatched for the load check the amount sent to you. We are paying for the distance “from zipcode to zip- code”.
We are paying for miles not for the weight. However, we are not offering you
loads which your truck cannot pull. The change in the delivery location causes the reconsideration of the
rate per load. NOTE that the difference in less than 20 miles is not negotiable.
THESE NUMBERS CAN BE LOWER DEPENDING ON AREA, TIME OF DAY AND VARIETY OF FACTORS.

B. PRICE MUST BE DISCUSSED BEFORE YOU AGREE FOR A BID TO BE PLACED ON THE LOAD, WHICH
INCLUDE BUT IS NOT LIMITED TO
1) Extra pay for tolls
2) Extra cents per mile due to the load exceeding your weight limit
3) Short distance
C. THE COMPANY WILL NOT PAY MORE IF EXTRA PALLETS/SKIDS ARE ADDED AT THE SHIPPER AND
IF FITS IN THE VEHICLE. YOUR EARNINGS ARE PER MILE, not PER POUND THEREFORE IF THE SHIPMENT
WAS CHANGED AND THE NEW WEIGHT OR VOLUME FITS IN THE VEHICLE - THE UNIT MUST TAKE THE
SHIPMENT. OTHERWISE IT RISKS TERMINATION OF RELATIONSHIP WITH THE COMPANY.
D. DRIVERS AND OWNERS ARE RESTRICTED FROM DISCUSSING PRICING WITH SHIPPERS OR
RECEIVERS. ANY LINE OF QUESTIONING TO EITHER, SHARE THE DRIVER PAY WITH SHIPPER/RECEIVER OR
TO INQUIRE HOW MUCH THIS LOAD WAS BOOKED FOR, WILL RESULT IN IMMEDIATE CONTRACT
TERMINATION.
E. YOU MUST CHECK IN EVERY MORNING MONDAY-SATURDAY BETWEEN 08:00am –
09:30am EASTERN TIME.
1) You can call our main office number (949)-459-4557 to provide your available location
and time for the day
2) You will also receive a text message between 08:00am – 09:00am to provide an update
3) If you are not available that day you are also required to check in and let the dispatch
know you are off service that day.
4) If you are going to be off for a period (2-3 days, 1 week to a month), let the dispatcher
know and we will not ask you to provide updates during that time.
5) Sundays only call our office (949)-459-4557 if you are available to work.
F. IF YOU WORK WITH OTHER COMPANIES AND YOU RECEIVE A LOAD FROM THEM, CALL OUR
OFFICE IMMEDIATELY AFTER RECEIVING THE LOAD TO PUT YOURSELF OFF SERVICE.
G. CALL OFFICE BEFORE YOU CHANGE YOUR LOCATION.
H. ONCE YOU ARE IN SERVICE, DISPATCHERS WILL BE LOOKING FOR LOADS FOR YOU. IF
DISPATCHER FINDS YOU A LOAD, HE WILL CALL AND OFFER IT TO YOU. IT IS IN YOUR BEST INTEREST
TO LET THE
DISPATCHER KNOW AS FAST AS YOU CAN IF YOU ACCEPT THE LOAD. IF YOU AGREE TO THE BID,
YOU WILL BE OBLIGATED TO KEEP YOURSELF RESERVED FOR THIS OFFER FOR A MINIMUM TIME OF 15
MINUTES. IF THE BID IS AWARDED, YOU WILL BE NOTIFIED BY THE DISPATCHER. HE WILL THEN TEXT YOU
PICK UP AND DELIVERY INFORMATION. YOU ARE TO CALL THE OFFICE NUMBER OR TEXT BACK THAT SAME
NUMBER TO CONFIRM YOU RECEIVED THE INFORMATION
I. LOCATION UPDATE IS REQUIRED EVERY TWO HOURS FOR ANY LOAD OF THE COMPANY, ONCE
ON A LOAD of the Company.

1) Call upon arrival for pick up (as soon as you arrive to the building)
2) Call once loaded (number of pallets, total weight, BOL number and ANY DAMAGE OF THE
CARGO).
3) Do not leave the shipper until you have called the office and the dispatcher confirmed
the pickup information and gave you an OK to leave.
4) Freight must be strapped.
5) Call upon arrival for drop off (as soon as you arrive to the building).
6) Call once dropped off with POD (first and last name of the person who signed for the
freight).
7) If you are running late, you must let the dispatcher know as soon as you see you will be
late, not when you are already late.
8) If the shipper tells you to hand load/unload the freight, you are required to call the office
and let the dispatcher know before you start doing anything. In order to get paid for the
labor, dispatcher has given to you an OK from the broker to do the job.
9) If you load or unload the freight without letting the dispatcher know, you will not get
paid for the labor.
10) Your delivery time is what is set by a DISPATCHER, not a SHIPPER.
11) If the shipper tells you the load has been canceled, you are to call the dispatcher and ask
him whether it is truly canceled before you can leave.
12) If the shipper tells you to unload elsewhere, you are to call the dispatcher before you
can move.
13) NEVER leave anything of yours at the shipper that includes throwing away any trash
especially tires in their dumpsters.
14) NEVER put anything on top of the pallets/boxes that you are loaded with.
J. 25% REDUCTION WILL BE APPLIED FOR ANY PICK UP/DELIVERY FAILURE.
K. If Fleet Owner/Operator wants to undertake the pick-up/delivery earlier than scheduled, it shall
confirm this with the Company. Otherwise it may result in charges to the Fleet Owner/Operator.


IV. RECOVERY POLICY
A. If your trucks break when you are under the Company’s load, you must immediately call
Dispatcher to notify on this. If your truck is broken, Dispatcher needs to find another truck to deliver the
load.
B. Compensation:
1) The driver who makes the recovery shall be paid the amount he needs to deliver that
load.

2) The driver whose vehicle was broken shall be paid the remainder from the whole rate
per the load no matter what distance that driver has already made.
3) Other accessorial charges will be covered only as agreed with the Company and only
after the Fleet Owner/Operator provides a legible copy of receipt


V. PAYMENT
A. ALL BILL OF LADINGS MUST BE EMAILED TO: aditglobalinfo@gmail.com via CamScan mobile application or equivalent RIGHT AFTER DELIVERY. BOLs MUST BE IN .PDF FORMAT ONLY.
B. ALWAYS WRITE YOUR TRUCK# and a PRO NUMBER ON BOLs. INCLUDE YOUR TRUCK # IN
EMAIL OR SUBJECT LINE.
C. ALL ORIGINAL BILL OF LADINGS MUST BE MAILED IN A TIMELY MANNER at 18383 Gallery Dr apt 3201 Dallas TX 75252. PAPERWORK RECEIVED MORE THAN 15 DAYS PAST THE DATE THE LOAD WAS
COMPLETED ON WILL BE ASSESSED A 15% PENALTY PER 30 DAYS LATE.
a. Payments are done every Friday. Payment period begins on Wednesday and ends on
Tuesday same week. That means that those loads, which were closed till Tuesday midnight will be
paid on Friday same week.
b. If you would like to receive PAYMENT REPORT to your e-mail, please provide your
EMAIL.


VI. STRICTLY FORBIDDEN
MULTI BIDDING - it means giving rates to more than one dispatcher or company during the 15-
minute time period.
CANCELLATIONS - if the contractor agrees to take a load and has agreed with the rate to our
dispatcher, the contractor cannot cancel it. Otherwise, the charges and disciplinary penalties will apply:
● First cancellation: charge, ranging from $150 to $300.
● Second cancellation: immediate termination of cooperation!
*In case of the emergency reason, proofs should be provided to the HR Department within 24 hours from
the date of cancellation.


VII. EXTRA PAYMENTS
CANCEL:
If a load is canceled, “Cancellation fee” depends on the quantity of miles the Contractor passed, vehicle
type and broker's decision Cancel and will be processed after check in at the shipper location.
If a truck was booked for a load more than 12 hours prior to pick up and received a cancellation less
than 4 hours prior to pick up, or was more than 150 miles from pickup, he must be paid a TONU of
$50 or the number of miles passed, whichever is greater.
PAYMENT PER MILE IN CASE OF CANCELATION (detention not included):

MINIMAL PAYMENT IN CASE OF CANCELATION:

DETENTION FEE:
Payment for the detention time depends on vehicle type and customer’s decision. Waiting periods
less than 2 hours are not paid.
If you wait for 3 or more hours, you may ask for extra money. All paid waiting is paid for 1 hour.
The first paid hour is charged after the accumulated hour of paid waiting and is charged as an hour.
Each subsequent interval is charged and paid for 30-minute increments after the first paid hour of
waiting
.
Waiting time adjustments shall be calculated on a full-hour basis(accumulated hours). If the
driver's waiting time is less than a full hour (e.g., 3 hours and 50 minutes), payment will be processed for
the last fully completed hour (3 hours). Conversely, if the waiting time exceeds a full hour (e.g., 4 hours
and 15 minutes), payment will be calculated for the last fully completed hour (4 hours).

LAYOVER:
Payment for the layover depends on the vehicle type and customer’s decision and
time. Payments in this case are:

* In case you have to wait over the weekend, the minimum total payment for that would be not
less than $300 (for 3 nights Fri-Sun).

HAND LOADING/UNLOADING:
Hand loading / unloading is paid only if it is approved by a dispatcher (25-100$) and depends on the
weight of the freight.
BY SIGNING THIS AGREEMENT, I ACKNOWLEDGE THAT I FULLY ACCEPT AND UNDERSTAND
ALL OF THE ABOVE REQUIREMENTS OF A FLEET OWNER/OPERATOR FOR THE COMPANY.
